It should be signed while the business is still in its conception phase, when the innovative idea and business model are being structured, but before the company is legally formalized.&nbsp;<\/p>\n\n\n\n<p>This document helps to align expectations among the co-founders, defines basic rights and responsibilities and sets out how strategic decisions will be made. Although it is no substitute for a memorandum of association, a well-drafted MoU can prevent future conflicts and ensure a solid foundation for the company's formation.&nbsp;<\/p>\n\n\n\n<p>It is worth noting that this instrument will not always be the best option for all startups, especially those operating in regulated sectors, such as fintechs, which may require different formalizations from the outset.&nbsp;<\/p>\n\n\n\n<p><strong>What can't be missing from your MoU?<\/strong>&nbsp;<\/p>\n\n\n\n<p>&nbsp;<br>Although there is no compulsory template, some key points should be included:&nbsp;<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li><strong>Object of business<\/strong>clear description of the project that will serve as the basis for all definitions\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li><strong>Rights and duties<\/strong>contributions, responsibilities and benefits of each member\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li><strong>Corporate structure<\/strong>profit sharing and initial share division\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"4\" class=\"wp-block-list\">\n<li><strong>Governance<\/strong>rules for making important decisions\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"5\" class=\"wp-block-list\">\n<li><strong>Formalization milestones<\/strong>events that will trigger the formal formation of the company\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"6\" class=\"wp-block-list\">\n<li><strong>Fundraising<\/strong>rules for future investments\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"7\" class=\"wp-block-list\">\n<li><strong>New members join<\/strong>conditions for admission and shareholder dilution\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"8\" class=\"wp-block-list\">\n<li><strong>Minimum bond<\/strong>essential period of permanence of the founders\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"9\" class=\"wp-block-list\">\n<li><strong>Members leaving<\/strong>rules for termination and liquidation of participation\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"10\" class=\"wp-block-list\">\n<li><strong>Business protection<\/strong>confidentiality and non-competition clauses\u00a0<\/li>\n<\/ol>\n\n\n\n<p><\/p>","protected":false},"excerpt":{"rendered":"<p>\u00c9 um acordo preliminar que documenta o entendimento entre os futuros s\u00f3cios sobre os princ\u00edpios que reger\u00e3o a sociedade da startup em forma\u00e7\u00e3o.
